Whether voting or not sets a higher standard than most decisions made
by the board. It requires an actual majority of the full complement,
not just a majority of a quorum. It is typical in major decisions
like this to require a higher standard to prevent abuse of it.
Perhaps now that you understand it better, you will see your criticism
of it was just a little off base.
