A Director is supposed to fill that role - it is the duty of a Director to 
inquire into the activities of the corporation and make independent 
judgements.

It is amazing how ICANN fell for the claim that a person who is an
employee with the title "ombudsman" - a person who's power, and salary,
derives entirely from papers that can be changed by his/her employer -
would have more independent power than a Director who derives his/her
power from State and Federal statutes and from case law.

So rather than insisting on an indepdent ombudsman, you ought to insist on 
Directors who understand and pursue their legal obligations.
