In light of Dannys' subsequent comments let us make sure that we are right on this;
An abstention is a vote (made to not show favor but to allow a block of a majority)
A "did not vote" is not a vote and does not count in the tally (made to not to show
favor but to allow predominance of those who did vote)
In this case the abstention and the did not vote made the vote even with no simple
majority. furthermore it becomes a non majority of quorum.
Corporate Qui Tam actions I understand can be brought on such by-law violations, if
there is a public trust or non-profit is involved.
Interesting and probably minor but we need to get on the same page.
