So how does this square with Art. IV (c) of the corporation's
Bylaws which the officers and directors of the corporation
have a fiduciary duty to follow:

   (c) The Corporation shall not apply its standards,
   policies, procedures or practices inequitably or single
   out any particular party for disparate treatment unless
   justified by substantial and reasonable cause, such as
   the promotion of effective competition.

Inquiring minds would want to know the substantial
and reasonable cause applicable here.
